Adviser to the offeror
As adviser to offeror, we can issue the offer document on its behalf ensuring compliance with the Financial Services and Markets Act, advise its board of their obligations under the City Code, liaise with the Takeover Panel and UK Listing Authority and project manage the other advisers including lawyers, reporting accountants, printers, and paying/receiving bank.
Advising the offeror board on their negotiations with the offeree, including advising on value
Advising on the advantages and disadvantages of buying shares in the offeree
Advising on the advantages and disadvantages of a "recommended" or hostile offer
Issuing the offer document on behalf of the offeror in order to ensure compliance with the Financial Services and Markets Act
Advising the offeror board of their obligations under the City Code and liaising with the Takeover Panel and UK Listing Authority
Project managing the other advisers to the offeror including lawyers, reporting accountants, printers, and paying/receiving bank
Project managing the production of the offer documentation
Adviser to the offeree
As financial adviser to the offeree board we would:
Advise the offeree board on their negotiations with the offeror
Formally advise the offeree board on whether or not the offeror bid was "fair and reasonable" as required by rule 3 of the City Code
Advise on discussions with key shareholders
Advise the offeree board of their obligations under the City Code
Project manage the other advisers to the offeree board including lawyers and accountants
Assist in drafting the offeree board response to any offer
We also have substantial experience of advising on "public to private" transactions, acting for either offeror or offeree.
